Hello, and welcome to the Official Rules ("Rules") of the ChangeMint Ultimate VIP Experience (hereafter the "Contest"). This Contest is designed to allow people to recognize and reward the Everyday Heroes on the front lines of "doing good" in the world! To do that, nominate yourself (or someone else) and then ask your friends and family to vote for you in the Contest. The individual with the most votes wins the Grand Prize of the ChangeMint Ultimate VIP Experience in Las Vegas, NV! Everyone that finishes in the top ten in voting wins a prize, so every vote counts! You'll also be helping raise money to support this great cause. Below are all the rules. Please read carefully and let's go have some fun!

By participating in the Contest, you attest that You have affirmatively reviewed, accepted, and agreed to all Official Rules and Regulations contained herein.


ChangeMint LLC (hereafter "ChangeMint," "Sponsor," "we," "us").


This Contest is open only to legal residents of the USA (except for residents of Colorado, Maryland, Nebraska, North Dakota, Vermont, Alaska and Hawaii), ages 21 years or older as of the date of entry, and who fulfill all Contest requirements. The Contest is subject to all applicable federal, state, and local laws and regulations and as always, is VOID WHERE PROHIBITED. Before receiving any prize, all Winners must complete and return a publicity and liability release.

The Grand Prize Winner's chosen guest (the "Travel Companion") must also be 21 years or older before the commencement of travel (you're going to Vegas, after all!). The Grand Prize Winner and Travel Companion are responsible for obtaining all necessary travel authorizations or documentation required to travel (e.g. passports or other TSA accepted identification) and be able to travel to Las Vegas, NV on the dates specified by Sponsor (the "Travel Dates") and on the same itinerary. For clarity, this means the Travel Companion must be able to travel with the Grand Prize Winner on the same flights to and from Las Vegas. If you are unable to travel to Las Vegas on the Travel Dates, you will unfortunately forfeit the Grand Prize. Your Travel Companion must also complete and return a publicity and liability release prior to departure.


Entries will be accepted online starting June 17, 2020 and ending on November 30, 2020 at 11:59:59 PM PST.


To enter the Contest, you must fulfill all Contest requirements, as specified on the Contest Page. Entries that are incomplete or do not adhere to these Rules or specifications may be disqualified at the sole discretion of ChangeMint. If You use fraudulent methods or otherwise attempt to circumvent these Rules, your Entry may be removed from eligibility at our sole discretion. You further pledge not to use inappropriate language or images in your Entry, as determined by Sponsor in its sole discretion. Entries that violate these, or any other of the Rules, will be immediately disqualified.

If nominating someone else in the Contest, you pledge to have the implicit approval and permission to nominate that person and use their name and likeness in the Contest. After your entry is complete, we will automatically contact the nominated individual and secure their participation in the Contest. If the individual you nominate does not give their permission within three days of being contacted by us, we will withdraw your Entry in the Contest and notify you of such withdrawal of your Entry. You may then nominate someone else and this confirmation process will be repeated. However, if you choose not to nominate another individual, your original entry will remain withdrawn. So, in that case, why not nominate yourself? Don't forget… you are awesome, too!

• The Grand Prize Winner will be the individual that receives the most votes in the Contest. The Grand Prize Winner and one Travel Companion will receive a 3-night trip to Las Vegas, NV that includes airfare via Southwest Airlines^® and a 3-night stay at a world-class MGM^® resort. The approximate retail value of the Grand Prize is $4,000 (but actual value may vary due to dates of travel, accommodations, and other variables). Due to the uncertainty surrounding the COVID-19 pandemic, and because your safety is our highest priority, we will offer you the choice of three Travel Dates in 2021.
  
  Please note that you will be responsible for travel from your home to and from the nearest airport offering service from Southwest Airlines ^®.
• The Second and Third Place Winners will be the individuals that receive the second and third most votes in the Contest (respectively). The Second and Third Place Winners will each receive a gift card or certificate of the Sponsor's choice (or combination of gift cards or certificates) with a total retail value of $500.
  
  
• The Fourth through Tenth Place Winners will be the individuals that receive the fourth through tenth most votes in the Contest. The Fourth through Tenth Place Winners will each receive a gift card or certificate of the Sponsor's choice (or combination of gift cards or certificates) with a total retail value of $50.
  
  
• Prizes cannot be transferred or substituted, except that we may substitute a Prize of equal or greater value. Unless otherwise specified in the Rules, if a portion of a prize goes unused, it may not be substituted, transferred, or redeemed for cash.

Winners of all Prizes will be determined by voting. Each vote cast in the Contest requires a $1 donation to support our mission to celebrate awesome people on the front lines of "doing good" in the world. So, with every vote in the Contest, you're making this your mission, too!

Voters may vote as many times as they wish. Each $1 Donation equals 1 Vote in the Contest. Voters that make a $25 in a single-transaction will receive a complimentary ChangeMint t-shirt with a retail value of $25! Voters eligible to receive a shirt will receive a promo code via email after the qualifying transaction has been processed.


Donations made to ChangeMint are not tax-deductible donations that you may make to non-profit organizations; but rather, non-tax-deductible contributions that support our mission.


All prize-related expenses, including without limitation any and all federal, state, and/or local taxes and incidental expenses such as hotel room charges and tips shall be the sole responsibility of each Prize Winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by Prize Winners are permitted.


All votes will be tallied at the conclusion of the Contest and all Prize Winners will be announced on social media on or around September 10, 2020 and each Winner will be directly notified by email within three days following the social media posts. Prize Winners must claim their prizes within three days after being contacted via email.

If the Prize Winners cannot be contacted, are ineligible, fail to claim their Prizes within 3 days from the time the email award notifications are sent, or fail to timely return their completed and executed declarations and releases, their Prizes may be forfeited and an alternate Winner selected. ChangeMint shall have no liability for Prize Winners' failures to receive notices due to spam, junk e-mail or other security settings or for the Prize Winners' provision of incorrect or otherwise non-functioning contact information. Alternate Winners are deemed to be the individuals with the next highest vote totals.

All Winners, plus the Grand Prize Winner's Travel Companion, are required to sign a liability/publicity release prior to issuance of Prizes. Receipt by Winner of any prize offered in this Contest is conditioned upon compliance with any and all federal, state, and local laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (at CHANGEMINT'S SOLE DISCRETION) WILL RESULT IN THAT WINNER'S DISQUALIFICATION, AND ALL PRIVILEGES AS A PRIZE WINNER WILL BE IMMEDIATELY TERMINATED.


By participating in this Contest and providing required content (e.g., photo, video, text, etc.), You understand and agree that ChangeMint, anyone acting on our behalf, or on behalf of our partners, licensees, successors, and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the World, without limitation, your entry, name, portrait, picture, voice, likeness, image, statements about the Contest, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes. without any further compensation, notice, review, or consent. For clarity, this means we can include you and any information you provided to us in advertising and trade and promotional materials for Sponsor and our partners, in any form of media (including media that's not yet known), and that we can do so without any additional compensation. This only applies unless otherwise prohibited by law.

If you are entered into the Contest by someone else, and give us your approval of the Entry when we contact you via email, then you also agree to abide by these Rules just as if you had entered the Contest yourself.

Additionally, by entering this content, You represent and warrant that your entry is an original work of authorship, and does not violate any third party's proprietary or intellectual property rights. If your entry infringes upon the intellectual property right of another, You will be disqualified at the sole discretion of ChangeMint and your Entry Fee will be forfeited. If the content of your entry is claimed to constitute infringement of any proprietary or intellectual proprietary rights of any third party, You shall, at your sole expense, defend or settle against such claims. You shall indemnify, defend, and hold harmless ChangeMint from and against any suit, proceeding, claims, liability, loss, damage, costs or expense, which ChangeMint may incur, suffer, or be required to pay arising out of such infringement or suspected infringement of any third party's right.


By participating in this Contest, we'll collect some information about you. Please review our privacy policy to find out all about what we collect and how we use it. If you choose to enter the Contest, you agree to our Privacy Policy.


The Grand Prize Winner and Travel Companion are responsible for obtaining all necessary travel authorizations, or documentation required to travel (e.g. passports or other TSA accepted identification) and be able to travel to Las Vegas, NV on the designated Travel Dates. If you are unable to travel to Las Vegas, you will forfeit the Grand Prize. Both the Grand Prize Winner and your Travel Companion must complete and return a publicity and liability release prior to departure.

Travel restrictions, conditions and limitations may apply. The Grand Prize value may vary depending on point of departure, travel dates, and fare/rate fluctuations. Because we cannot predict the future, we can't be responsible for any cancellations, delays, diversions or substitutions, or any act or omission of any third-person with respect to the trip. Lost or stolen tickets, travel vouchers or certificates or similar items once they are in your possession, will not be replaced.

The Grand Prize Winner and your Travel Companion must travel on the same itinerary. This means you must travel on the same flights to and from Las Vegas. If the Grand Prize Winner or your Travel Companion are, in our opinion or the opinion of our partners, obnoxious, threatening, abusive, or harassing before or during the trip, the Sponsor and its partners reserve the right to deny or terminate the trip, in whole or in part.

The Winner of the Grand Prize must travel on the Travel Dates and itinerary specified by Sponsor. All airfare is coach class (or similar) and hotel accommodations are to be determined by Sponsor. If the Grand Prize Winner lives within a one hundred (100) mile radius of Las Vegas, NV we may provide ground transportation or a stipend for ground transportation instead of airfare.

Any and all expenses not specified herein (including, but not limited to, checked baggage fees, meals and gratuities, are the sole responsibility of the Grand Prize Winner and the Winner's Travel Companion. Grand Prize Winner also acknowledges that certain aspects of the Grand Prize (for example, some activities) may have extra restrictions or conditions that must be met in order to participate, and Sponsor shall have no liability to provide any additional remuneration or other compensation to the Grand Prize Winner.


ChangeMint reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest at any time, and for any reason. In the event ChangeMint does terminate the Contest, we may opt to select a Grand Prize Winner from all eligible entries received prior to and/or after (if appropriate) the action taken by ChangeMint. We reserve the right, in our sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Contest or website or violates these Rules. ChangeMint has the right, in its sole discretion, to maintain the integrity of the Contest, to void votes for any reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by the Rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Contest may be a violation of criminal and civil laws. Should such an attempt be made, we reserve the right to seek damages to the fullest extent permitted by law.


Though we try our best, we do not guarantee, represent or warrant that your participation in our Contest will be uninterrupted, timely, secure or error-free.

By entering, You agree to release and hold harmless ChangeMint LLC and its members, employees, managers, officers, directors, subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant's participation in the Contest and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries.

Sponsor, Sponsor's partners, prize providers, and promotional partners (the "Released Parties") are not responsible for illegible, lost, late, incomplete, misdirected, or undeliverable email; or for any computer, telephone, satellite, cable, network, electronic or internet hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/internet/website/use net accessibility, availability, or traffic congestion, or any technical, typographical, or other error, or unauthorized human intervention, or the incorrect or inaccurate capture of registration information, or the failure to capture, or loss of, any such information.


Certain content, products and services available via the Contest may include materials from third-parties. Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties.

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's Terms of Service and Privacy Policy and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.


THIS CONTEST IS GOVERNED BY THE LAWS OF NEVADA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Contest, you agree that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in NEVADA having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney's fees, other than participant's actual out-of-pocket expenses (i.e. costs associated with entering this Contest). Participant further waives all rights to have damages multiplied or increased.


By entering the Contest, you agree: (a) to be bound by these Official Rules and by all applicable laws and decisions of Sponsor, which shall be binding and final; (b) to waive any rights to claim ambiguity with respect to these Official Rules; (c) to waive all of your rights to bring any claim, action, or proceeding against any of the Released Parties in connection with the Contest; and (d) to forever and irrevocably agree to release, defend, indemnify, and hold harmless each of the Released Parties from any and all claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, liability costs and expenses (including, without limitation, reasonable outside attorneys' fees) that may arise in connection with your participation in the Contest (including any Prize).

In the event of a dispute regarding entries received from multiple users having the same email account, the authorized subscriber of the email account at the time of entry will be deemed to be the entrant and must comply with these rules, in their entirety. Authorized account subscriber is the natural person who is assigned the email address by the Internet Service Provider (ISP), online service provider, or other organization responsible for assigning email addresses.

By participating in the Contest, you agree that any and all disputes and disagreements between us will be governed by laws of the State of Nevada and you will bring any claims only in the Federal and State courts located in Las Vegas, Nevada. You also agree that unless you are prohibited from law in doing so, you promise you will bring any and all disputes, claims and causes of action against ChangeMint individually, without resort to any form of class action. Finally, unless the law prohibits you from doing so, you agree to waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages and participants further waive all rights to have damages multiplied or increased.


The Contest is sponsored by ChangeMint LLC. All third-party names and trademarks are the property of their respective owners. This promotion is in no way sponsored, endorsed or administered by, or associated with Facebook or Instagram. You understand that you are providing your information to ChangeMint LLC and its partners, and not to Facebook or Instagram. By participating in this promotion you agree to a complete release of Facebook and Instagram from any claims.


The failure of us to exercise or enforce any right or provision of these Rules shall not constitute a waiver of such right or provision. These Rules and any policies or operating rules posted by us on our Site or in respect to the Contest constitutes the entire agreement and understanding between you and us and govern your participation in the Contest, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Rules, or ChangeMint.com's Terms of Service posted to its website). Any ambiguities in the interpretation of these Rules shall not be construed against the drafting party.


In the event that any provision of these Rules is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Rules, such determination shall not affect the validity and enforceability of any other remaining provisions.
